NeoImpact is committed to delivering its services in a professional, timely, and favorable manner. By engaging in NeoImpact ESG Dashboard services, clients agree to the following terms and conditions:

The Contract
  1. An independent contractor relationship will be established between the client and NeoImpact. No partnership or joint venture is implied unless specifically mentioned and agreed upon in writing by both parties.
  2. A mutually agreed-upon date will be set for project initiation or launch, with charges applicable from that date.
  3. NeoImpact will provide periodic performance reports to clients.
  4. Either party may cancel or transfer service responsibilities to another vendor with a formal notice of at least 30 business days.
  5. NeoImpact  may subcontract certain tasks or parts of the project to a third-party service provider, with formal notification to the client.
 
Payment
  1. NeoImpact offers services with a monthly or yearly payment structure.
    • For monthly payments, clients must make payments by the 10th working day of each month.
    • For fixed-quote projects, a 50% advance payment is required, with the remaining 50% due before final delivery or project completion.
  2. If monthly payments are overdue, NeoImpact will issue reminders on the 11th, 15th, and 20th working day of the month. If the payment is not received by the 20th, NeoImpact reserves the right to terminate the project after issuing a 10-day notice.
Liability
  1. NeoImpact is not liable for any indirect or consequential losses due to delays in service deliverables caused by natural or ungovernable factors.
  2. Clients will defend, cover, and hold NeoImpact harmless from any claims, losses, liabilities, or expenses arising from services provided to the client, including but not limited to:
    • False advertising claims.
    • Liability claims for products or services sold by the client.
    • Claims of patent, copyright, or trademark infringement.
    • Claims due to service disruptions or malfunctions.
    • Any content submitted by the client for publication.
  3. Due to the nature of digital media, any content provided by the client for publication will be accessible to the public upon release. NeoImpact is not responsible for screening this material and disclaims liability for any damages resulting from public access to the content.
Waiver
  1. If at any time during the term of a service contract, NeoImpact fails to insist on strict performance of the client’s obligations under the terms and conditions, this does not constitute a waiver of those obligations.
  2. Any waiver of terms and conditions must be officially communicated in writing to be valid.
Privacy Rights
  1. Information such as name, email, contact number, and website URL provided by clients through contact forms will be kept confidential and not shared with third parties without prior consent. However, employees of NeoImpact will have access to this information.
  2. NeoImpact may use personal data to contact clients with newsletters, marketing, or promotional materials. Clients can opt out of these communications at any time by following unsubscribe instructions in any email or by contacting NeoImpact.
  3. NeoImpact will take reasonable precautions to prevent the loss, misuse, or alteration of personal information.
  4. Data transfer over the internet is inherently insecure; therefore, NeoImpact cannot guarantee the security of data transmitted online.
  5. NeoImpact uses cookies and similar tracking technologies to gather statistical data about website usage for site optimization. Third-party advertisers may also use cookies for statistical purposes, but cookies do not grant access to personal information.
Modification of Terms and Conditions

NeoImpact reserves the right to modify these terms and conditions at any time, including during an ongoing contract. Any changes will be communicated to clients through company email.
